Service Agreement & Terms of Conditions

By making payment for this service, you (the "Client") agree to the following terms and conditions with Kash Placek (AKA KashTheKing) (the "Consultant").

1. Scope of Service & Vetting Duration

• Negotiated Service Fee & Timeframe: Fees are charged per individual developer role/slot based on a specific, predetermined duration of active vetting (e.g., 7 days, 1 month). The exact timeframe and total flat fee are unique per agreement and must be negotiated and agreed upon upfront.
• Client Responsibility for Candidates: The Consultant is not responsible for sourcing, searching for, or discovering developers. The Client must source and bring candidate developers directly to the Consultant for evaluation.
• Vetting Process: Within the active negotiated timeframe, the Consultant will interview, validate, and quality-assure the code of candidates brought forward by the Client. The Consultant will vet candidates continuously during this period until a developer is chosen or the timeframe expires.
• Replacements Within the Timeframe: If a hired developer quits, gets fired, or cancels the project before completion, the Consultant will resume vetting new candidates brought forward by the Client free of charge, provided that the request and vetting occur strictly within the original negotiated time window.
• Completion of Service: The service is considered fully finalized and concluded upon the exact expiration date of the agreed-upon timeframe, regardless of how many candidates were hired or vetted. Any vetting required after the duration expires will require a new agreement and an additional fee.

2. Payment Terms

• Upfront Payment: Payment must be made in full before any interviewing, vetting, or consulting services begin.
• No Refunds: All payments are strictly non-refundable once the Consultant begins reviewing candidates or interviewing for the role, regardless of the ultimate outcome of the client's project.

3. Limitation of Liability (Risk Disclaimer)

• Vetting Only: The Consultant is providing a vetting and technical assessment service to minimize hiring risks. The Consultant is not being hired to script the game, build systems, or complete any development work themselves.
• No Guarantee of Developer Performance: While the Consultant uses expert methods to filter out high-risk candidates, the final hiring decision rests solely with the Client.
• Exclusion of Damages: The Consultant is not legally or financially liable for any future actions of the hired developer. This includes, but is not limited to: developers scamming the Client, leaking assets, delivering poor quality work, missing deadlines, or failing to finish the project.

4. Confidentiality & Intellectual Property

• Project Privacy: The Consultant agrees to keep all unreleased game concepts, frameworks, and proprietary details shared by the Client strictly confidential.
• Vetting Privacy: The Client agrees not to publicly share, distribute, or reuse the Consultant’s specific interview questions, code assessment tests, or vetting methods.

5. Termination of Service

• Abuse and Harassment: The Consultant reserves the right to terminate this agreement immediately and without a refund if the Client engages in abusive, toxic, or disrespectful behavior during the consulting process.
